Terms of Service
Effective May 8, 2026
These Terms of Service (“Terms”) govern access to and use of the software, websites, and services (collectively, the “Services”) provided by Dental Vantage Point (“DVP,” “we,” “our,” or “us”). By creating an account or otherwise using the Services, you (“Customer” or “you”) agree to these Terms.
1. The Services
DVP provides marketing-attribution and campaign-management software built for dental practices. Features include call tracking and recording, form-fill capture, integration with Google Ads and certain practice management systems, and reporting that ties marketing spend to booked appointments and recorded production.
2. Eligibility & account
You must be at least 18 years old and authorized to bind the dental practice you sign up on behalf of. You are responsible for keeping your login credentials secure and for all activity under your account.
3. Customer responsibilities
- Comply with all applicable laws, including telemarketing, call-recording-consent, advertising, and patient-privacy laws (HIPAA where applicable).
- Obtain any consents required from your patients or prospects before recording calls or processing their personal information through the Services.
- Provide accurate information when you connect third-party integrations and notify us promptly if a credential is compromised.
4. Account ownership & access
When DVP creates a Google Ads account, practice management configuration, or similar third-party resource on your behalf, you are the owner of that account and the data within it. DVP holds managerial access to operate the Services. You may revoke DVP’s access at any time, subject to the natural consequence that the Services depending on that access will stop functioning until the integration is reconnected.
5. Fees
Fees, billing cadence, and any included usage allowances are set out in the order or plan you signed up for. Fees are non-refundable except as required by law. We may change pricing on a going-forward basis with reasonable notice.
6. Acceptable use
You agree not to:
- Reverse-engineer, decompile, or attempt to derive source code from the Services.
- Resell, sublicense, or expose the Services to third parties not authorized by us.
- Use the Services to send unsolicited communications in violation of applicable telemarketing or anti-spam laws.
- Upload, store, or transmit content that infringes third-party rights or violates law.
7. Third-party services
The Services integrate with third-party platforms (e.g., Google Ads, telephony providers, practice management systems). Your use of those platforms is subject to their own terms; we are not responsible for their availability, performance, or actions.
8. Confidentiality
Each party will protect the other’s non-public information with the same care it uses to protect its own confidential information, and will use such information only to operate or use the Services.
9. Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. DVP DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DVP’S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
11. Termination
You may stop using the Services at any time. We may suspend or terminate access for material breach, non-payment, or to comply with law. On termination, your right to use the Services ends and we will make commercially reasonable efforts to allow data export for a reasonable period.
12. Changes
We may update these Terms from time to time. Material changes will be announced through the product or by email. Continued use of the Services after a change indicates acceptance.
13. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Delaware.
